Terms of Service

1. Agreement

These Terms are a public offer by the operator of Botsay, the service at botsay.net (“Botsay”, “we”). They form a binding contract between you and us from the moment you create an account or otherwise use the Service

If you do not accept these Terms in full, do not use the Service. If you use it on behalf of a company, you confirm that you are authorized to bind that company, and “you” means both of you

The Service is a tool for business and professional activity: you use it as a creator, expert or business, not as a consumer, and you have the legal capacity to enter into this contract. The Privacy Policy at botsay.net/privacy is part of these Terms

2. The service

Botsay connects to your Instagram account through Meta’s official API, sends automated messages to people who comment or write to you, answers from the materials you upload, hands contacts over to Telegram and keeps a list of your contacts. The current feature set is the one available in the app

Botsay is a tool. Every message your agent sends is built from your instructions, your materials and your settings. You decide what is sent, to whom and when, and you remain responsible for it

We may change, add, limit or retire any feature, model, integration or platform at any time. We do not promise that a particular feature or platform stays available

3. Your account

One account belongs to one person or company. You provide true details, keep your password secret and are liable for everything done through your account, whether or not you authorized it

Write to support@botsay.net at once if you suspect unauthorized access. Until we hear from you, we treat every action in your account as yours

4. Your channels, content and audience

You must own or be authorized to manage every Instagram account, Telegram bot and other channel you connect, and you must comply with the terms and policies of Instagram, Meta and Telegram. A restriction, limit or ban imposed by those platforms is not our failure and gives no right to a refund

You own the content you upload: knowledge, files, messages, links. You grant us a worldwide, royalty-free licence to store, process, transmit and display it as far as needed to provide the Service. We do not train AI models on your content

For the personal data of your audience — the people who write to you, their messages and contact details — you are the data controller and we process it on your instructions. You are responsible for having the right to contact them and for what your agent tells them. Details: Privacy Policy, section 4

5. AI answers

Answers are generated automatically by third-party AI models from your materials. They can be inaccurate, incomplete, outdated or inappropriate, even when the agent is limited to your materials. We do not guarantee the accuracy, completeness or fitness of any generated text

You review the setup, rehearse the agent and remain responsible for every message it sends, including any advice, price, promise or commitment it contains. The Service is not built for questions where a wrong answer could affect someone’s health, finances, safety or legal position, so do not rely on it there

6. Prohibited use

You must not use the Service to:

• send unsolicited or mass messages, spam or misleading content, or write to people who have not contacted you first;
• break the law or the rights of others, including copyright, privacy and consumer-protection rules;
• run fraud, harassment, hate, adult content or anything illegal in your country or the recipient’s;
• upload malware, probe, overload, scrape or reverse-engineer the Service, or access accounts that are not yours;
• circumvent limits set by Instagram, Meta, Telegram or us, including messaging windows and sending limits;
• resell, sublicense or share the Service, or create several accounts to abuse a trial or a promotion

We act on reports from platforms and users. Where a rule above is broken, we may remove the content or suspend the account, without prior notice if the situation calls for it

7. Payment and refunds

Prices are listed on the subscription page and shown before payment. A subscription is paid per connected account for 30 days or one year in advance, is charged once and does not renew by itself. Accounts added mid-period are charged for the days left. You bear taxes, bank and payment-provider fees and currency conversion costs

Card payments go through a licensed acquiring provider, crypto payments through a crypto payment provider. Card numbers never reach us. Access opens automatically when the provider confirms the payment; a crypto payment counts as received once confirmed on-chain

By paying you ask us to open access immediately, and from that moment payments are final: no refund is due for unused time or features, a change of mind, a platform restriction, or an account closed for a breach of these Terms. Where the law requires a refund, we return the amount paid for the unused part of the period and no more

A chargeback or payment dispute we consider unfounded suspends the account until it is settled; we may recover the amount and our costs. We may change prices at any time; a change applies to future purchases, never to a period already paid. A free trial (7 days, one account) may be shortened, changed or withdrawn at any time

8. Availability and third-party platforms

We aim for round-the-clock availability but do not promise uninterrupted or error-free operation. We may pause the Service for maintenance, security or updates, and may limit the pace of message sending to comply with platform limits

The Service depends on Meta, Instagram, Telegram, AI providers, hosting and payment providers. Their outages, changes, limits and decisions are outside our control, and we are not liable for them

9. Intellectual property

The Service, its software, design, trademarks and documentation belong to us. You get a limited, non-exclusive, non-transferable, revocable right to use the Service while your subscription is active, and nothing more. You may not copy, modify or sell it, or create derivative works from it

Any feedback or suggestion you send us may be used without restriction or payment. Botsay is not affiliated with, endorsed or sponsored by Meta or Telegram; their names and marks belong to their owners

10. Suspension and termination

We step in when something goes wrong: we may suspend or close your account, delete its content and refuse further service if you breach these Terms, if we suspect fraud, abuse or a risk to the Service, other users or a platform, at the request of a platform or an authority, or if we discontinue the Service. We notify you by email where we reasonably can. No refund is due when the cause is a breach

You may stop using the Service at any time and ask support@botsay.net to delete your account. Sections that by their nature survive — payment, content, intellectual property, liability, disputes — stay in force after termination

11. Warranties and liability

The Service is provided “as is” and “as available”, without any warranty, express or implied, including merchantability, fitness for a particular purpose, non-infringement and accuracy of AI output. Results depend on your audience, your materials and your offer, so we cannot promise particular growth or sales

To the fullest extent permitted by law, we are not liable for lost profit, revenue, data, goodwill or business, for indirect or consequential damage, for the actions of platforms or providers, for restrictions on your accounts or for content sent by your agent. Our total liability for all claims in any 12 months is limited to the fees you paid us in the three months before the first claim

If a claim, fine or loss reaches us because of your content, your messages, your breach of these Terms or of platform rules, or the data of your audience, you cover it, including our legal costs

12. Disputes and governing law

These Terms are governed by the laws of Ukraine, without regard to conflict-of-law rules

Before going to court, write to support@botsay.net; the parties try to settle within 30 days. An unresolved dispute goes to the competent court at our registered location, unless mandatory law grants you a different forum

13. Changes, general terms and contact

We may change these Terms at any time. The current version at botsay.net/terms applies from the date shown at the top. For material changes we notify you by email or in the app at least 7 days before they take effect; continued use after that date means acceptance. If you disagree, stop using the Service before the change takes effect

These Terms and the Privacy Policy are the entire agreement between us. If a provision is invalid, the rest stays in force. We may assign this contract; you may not without our written consent. Not enforcing a provision is not a waiver. Neither party is liable for delay caused by events beyond reasonable control, including war, outages, provider failures and acts of authorities
